01 Beta Tester Agreement

Beta Tester Agreement

This Beta Tester Agreement ("Agreement") is entered into between Project Scarlett Program Team ("Company") and the individual completing this onboarding ("Tester"), effective as of the date of electronic submission.

1. Grant of Limited License

Company grants Tester a limited, non-exclusive, non-transferable, revocable license to access and use the pre-release software known under the code name "Project Scarlett" ("Software") solely for evaluation and testing purposes during the designated Beta Period.

2. Beta Period

The Beta Period begins upon Tester's receipt of the Software build and continues until written notice of termination by Company, or upon the commercial release of the Software, whichever occurs first. Company may extend or shorten the Beta Period at its sole discretion.

3. Tester Obligations

Tester agrees to: (a) use the Software in good faith for its intended field sales prospecting purpose; (b) provide timely, honest, and constructive feedback through Company-designated channels; (c) promptly report bugs, crashes, and unexpected behaviors with sufficient detail; (d) not use the Software for any commercial, competitive, or revenue-generating purpose; (e) comply with all applicable laws during use.

4. No Compensation

Tester participates on a voluntary, unpaid basis. No monetary compensation is provided. Company may, at its sole discretion, provide non-monetary incentives such as extended access, recognition, or early product benefits.

5. Screenshots & Screen Recordings

Tester acknowledges that they may be requested or may voluntarily capture screenshots and screen recordings during testing sessions. All such media is subject to the terms of this Agreement and the NDA, and must be submitted exclusively through Company-authorized channels. Tester may not post, share, or publish any visual capture of the Software through any other medium.

6. Termination

Company may terminate Tester's beta access at any time, with or without cause, and without liability. Upon termination, Tester must immediately cease use and delete all copies of the Software, including APK files, cached data, screenshots, and test materials unless otherwise directed.

7. Governing Law

This Agreement is governed by the laws of the state in which Project Scarlett Program Team is incorporated, without regard to conflict-of-law provisions. Disputes shall be resolved in the courts of that jurisdiction.

02 NDA / Confidentiality Agreement

Non-Disclosure & Confidentiality Agreement

This Non-Disclosure Agreement ("NDA") is entered into between Project Scarlett Program Team ("Disclosing Party") and Tester ("Receiving Party") in connection with the Project Scarlett closed beta program.

1. Definition of Confidential Information

"Confidential Information" includes all non-public information disclosed to Tester relating to Project Scarlett, including without limitation: the actual product name, brand identity, logo, user interface design, feature set, technical architecture, AI integrations, backend systems, business strategy, pricing, marketing plans, unreleased screenshots, video recordings, and any information designated or reasonably understood to be confidential.

2. Code Name Obligation

Tester shall refer to the Software exclusively as "Project Scarlett" in all communications — including but not limited to: social media posts, professional networks (e.g. LinkedIn), oral discussions, written messages, and internal team communications — until Company provides written authorization to use the actual product name or branding.

3. Receiving Party Obligations

Tester agrees to: (a) maintain all Confidential Information in strict confidence using at least the same degree of care used to protect their own confidential information (but no less than reasonable care); (b) not disclose Confidential Information to any third party without prior written consent; (c) use Confidential Information solely for the purpose of beta testing; (d) notify Company immediately upon becoming aware of any actual or suspected unauthorized disclosure.

4. Exclusions

Obligations do not apply to information that: (a) is or becomes publicly available through no fault of Tester; (b) Tester can demonstrate was already known prior to disclosure; (c) is independently developed by Tester without use of Confidential Information; (d) is required to be disclosed by court order, law, or regulation, provided Tester gives Company prompt written notice and cooperates in seeking a protective order.

5. Term

This NDA is effective upon submission and shall remain binding for three (3) years following the termination of the Beta Period, or until the relevant information enters the public domain through legitimate means, whichever occurs first.

6. Remedies

Tester acknowledges that unauthorized disclosure would cause irreparable harm to Company for which monetary damages would be inadequate, and Company shall be entitled to seek immediate equitable relief, including injunctive relief, without the requirement of bond or other security.

03 No Redistribution / APK Handling Agreement

No Redistribution & APK Handling Agreement

This agreement governs how Tester may handle the Project Scarlett APK file(s) and all related software builds distributed by Project Scarlett Program Team during the Beta Period.

1. Licensed Devices Only

Each APK is licensed for installation exclusively on the device(s) registered during onboarding. Installation on additional or unregistered devices requires explicit prior written authorization from Company.

2. Absolute Prohibition on Redistribution

Tester shall not, under any circumstances: (a) share, forward, upload, or transmit the APK to any other individual or entity; (b) post the APK to any website, app store, forum, file-sharing service, or public or private repository; (c) sell, rent, lease, sublicense, or otherwise transfer access to the Software; (d) enable any unauthorized third party to install or access the Software through Tester's credentials, files, or devices.

3. Secure Storage

Tester must store APK files in a secure location not accessible to unauthorized individuals. APK files must not be stored in public cloud folders, shared drives, or any unencrypted or publicly accessible storage location.

4. No Reverse Engineering

Tester shall not decompile, disassemble, reverse engineer, extract source code from, or otherwise attempt to derive the internal workings of the Software. This includes use of APK decompilers, code analyzers, network traffic inspectors, or any tool beyond standard end-user interaction with the app.

5. Deletion Upon Request or Termination

Upon Company's request or upon termination of the Beta Program, Tester must promptly delete the APK and all associated files, exported data, screenshots, and recordings from all devices and storage locations, and confirm deletion upon request.

6. Reporting Breaches

If Tester becomes aware that the APK has been distributed to, accessed by, or installed by any unauthorized individual, Tester must notify Company in writing at the earliest possible opportunity with all known details.

04 Privacy Notice / Data Collection Disclosure

Privacy Notice & Data Collection Disclosure

This Privacy Notice describes the data Project Scarlett Program Team collects during the Project Scarlett Beta Program and how that data is used, stored, and protected.

1. Registration & Identity Data

We collect: name, email address, phone number (optional), occupation, geographic region, and device information provided during onboarding registration. This data is used to create your beta tester profile and deliver communications about the program.

2. Usage & Behavioral Data

While using the Software, we may collect: feature interaction patterns, screen navigation paths, session duration, button tap frequency, and error event logs. This data is collected to evaluate app performance and usability, and is treated as anonymized analytics.

3. Device & Technical Data

We collect: device make and model, operating system version, screen dimensions, available storage, GPS capability status, and camera access permissions. This data is used to evaluate compatibility and optimize device-specific performance.

4. Location Data

Project Scarlett includes GPS-based territory mapping and geo-targeting features. Precise and approximate location data may be collected during active testing sessions when these features are being evaluated. You may revoke location permissions at the OS level at any time.

5. Camera & AI Processing Data

When testing the business card scanning feature, images captured are temporarily processed by AI vision services for OCR text extraction evaluation. Images are processed in real time and are not permanently stored unless you explicitly save a prospect record. AI processing may be handled by third-party providers operating under data processing agreements with Project Scarlett Program Team.

6. Screenshots & Screen Recordings

Any screenshots or screen recordings you capture and submit through designated beta channels become part of your test submission record and may be reviewed by Project Scarlett Program Team developers. These are retained for the duration of the Beta Period plus 90 days.

7. Data Use & No Sale

All data is used exclusively for: (a) improving Software functionality; (b) identifying bugs and performance issues; (c) evaluating feature viability; (d) communicating with Testers. Tester data is never sold, rented, or shared with third parties for advertising or marketing purposes.

8. Data Retention & Deletion

Beta program data is retained for up to 24 months following the close of the Beta Period. You may request deletion of your data at any time by contacting Project Scarlett Program Team in writing.

9. Your Rights

You have the right to access, correct, or request deletion of your personal information. To exercise these rights, contact your Project Scarlett Program Team program coordinator.

05 Consent to Test / Data Processing Consent

Consent to Test & Data Processing Consent

By participating in the Project Scarlett Beta Program, you explicitly and voluntarily provide the following consents to Project Scarlett Program Team.

1. Consent to Beta Software Installation

You consent to install and operate pre-release, potentially unstable software on your personal or professional device. You understand that beta software may contain known and unknown defects, may behave unexpectedly, and could temporarily affect device performance during testing sessions.

2. Consent to Location Data Processing

You consent to the collection and processing of GPS location data while actively using location-dependent features of Project Scarlett (e.g., territory mapping, geo-targeting, proximity-based features). You retain the right to disable location permissions at the OS level at any time, with the understanding that this will limit the testable functionality of location-based features.

3. Consent to Camera Access & AI Processing

You consent to camera access for the purpose of testing the business card scanning and image capture features. You understand that images captured during testing may be processed by AI vision models — including third-party AI APIs operating under data processing agreements with Project Scarlett Program Team — for the purpose of OCR accuracy evaluation.

4. Consent to Screenshot & Recording Submission

You consent to capture screenshots and screen recordings of your testing sessions and to submit these through Company-designated channels. You acknowledge that submitted media may be accessed and reviewed by Project Scarlett Program Team development and product team members for evaluation and improvement purposes.

5. Consent to Feedback & Bug Report Storage

You consent to the storage and processing of any structured or unstructured feedback, ratings, comments, session notes, crash reports, and bug reports you submit as part of the beta program.

6. Voluntary Participation & Right to Withdraw

Your participation is entirely voluntary. You may withdraw consent and exit the Beta Program at any time by providing written notice to Project Scarlett Program Team. Upon withdrawal, your participation will end and a data deletion request will be processed in accordance with the Privacy Notice. There are no penalties for non-participation or withdrawal.

06 Feedback & IP Release

Feedback & Intellectual Property Release

This agreement governs the ownership and rights associated with all feedback, ideas, and content contributed by Tester during the Project Scarlett Beta Program.

1. Assignment of All Feedback

Tester hereby irrevocably assigns to Project Scarlett Program Team all right, title, and interest in any and all: feedback, suggestions, ideas, feature requests, enhancement recommendations, bug reports, usability observations, written communications, and any other information provided in connection with the Beta Program (collectively, "Feedback"), including all intellectual property rights therein, worldwide and in perpetuity.

2. No Compensation for Feedback

Tester agrees that Company has no obligation to implement, use, or acknowledge any Feedback, and that Tester will not receive — and expressly waives any claim to — compensation, royalties, attribution, credit, or any form of payment in connection with Feedback, regardless of whether or how it is incorporated into the Software or any related product.

3. Screenshots & Media Assignment

Any screenshots, screen recordings, photographs, or other visual or audio media submitted by Tester in connection with the Beta Program are irrevocably assigned to Company and may be used internally for development, evaluation, team communication, and investor demonstration purposes. Tester retains no rights over submitted media.

4. Moral Rights Waiver

To the fullest extent permitted by applicable law, Tester waives any moral rights, rights of attribution, or rights of integrity in all Feedback and submitted media.

5. Original Work Warranty

Tester represents and warrants that all Feedback is original to Tester, does not infringe upon the intellectual property rights of any third party, and does not contain any trade secrets of Tester's employer or any other entity without proper authorization.

6. Limited Name Use License

Tester grants Company a limited, royalty-free, non-exclusive license to reference Tester's first name and general occupational role (e.g., "field sales professional") in internal team materials, development notes, and future investor materials. Tester may opt out of this provision in writing at any time.

07 Beta Risk / No Warranty Acknowledgment

Beta Risk Acknowledgment & No Warranty Disclaimer

This acknowledgment informs Tester of the inherent risks associated with pre-release software and disclaims all warranties on behalf of Project Scarlett Program Team.

1. Pre-Release Nature of Software

Tester acknowledges that Project Scarlett is pre-release, beta-stage software. Tester accepts that the Software: (a) may contain significant known and unknown bugs, errors, and defects; (b) may crash, freeze, produce incorrect results, or behave in unintended ways; (c) may consume elevated battery, mobile data, or storage resources; (d) may not function as intended on all registered devices; (e) may require frequent reinstallation, updates, or data resets; (f) is not representative of the final product quality.

2. Device Risk Acceptance

Tester accepts full personal responsibility for any impact the Software may have on their device, including but not limited to: performance slowdowns, increased heat output, battery consumption, elevated data usage, or any other measurable device effect arising from installing or operating the Software during testing.

3. Data Loss Risk

Company is not responsible for any loss, corruption, or unintended modification of personal data, contacts, files, photos, or other information stored on Tester's device that may result, directly or indirectly, from the installation or use of the Software.

4. Disclaimer of Warranties — AS IS

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO TESTER'S USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Cap on Liability

Company's maximum aggregate liability to Tester, if any, shall not exceed zero dollars ($0.00 USD), as Tester has not provided monetary consideration for the beta license.

08 Acceptable Use Rules

Acceptable Use Policy

This policy defines the boundaries of acceptable use of Project Scarlett during the Beta Program. Violations may result in immediate termination of access without notice.

1. Permitted Uses

Tester is authorized to use the Software for: (a) evaluating app functionality as a prospective end user; (b) testing features in realistic field sales prospecting scenarios; (c) identifying and reporting technical issues, bugs, and UX problems; (d) submitting constructive feedback aimed at product improvement.

2. Prohibited Uses

Tester shall not use the Software to:

  • Collect, store, or transmit personal information of third parties without their explicit knowledge and consent
  • Conduct competitive intelligence, benchmarking, or analysis intended to benefit a competing product or service
  • Probe, scan, fuzz, or stress-test Company backend systems, APIs, or infrastructure
  • Attempt to access accounts, data, or systems belonging to other testers or Company employees
  • Execute automated, scripted, or bulk testing without prior written approval from Company
  • Engage in any illegal, fraudulent, harassing, or harmful activity
  • Circumvent technical restrictions, licensing controls, or access management within the Software
  • Publicly post, publish, or stream any portion of the Software's interface or functionality

3. Responsible Security Disclosure

If Tester discovers a security vulnerability, potential data exposure, or unexpected system behavior that may represent a security risk, Tester must immediately report it exclusively to Company through designated channels and must not exploit, publicize, or disclose the vulnerability to any third party under any circumstances.

4. Professional Conduct

Tester agrees to engage with the Software and interact with Company personnel in a professional, respectful, and constructive manner. Abusive, threatening, or discriminatory communications will result in immediate termination of beta access.

5. Legal Compliance

Tester must comply with all applicable federal, state, local, and international laws when using the Software, including laws relating to privacy, data protection, electronic communications, and computer access.

09 Tester Identity & Device Registration Acknowledgment

Tester Identity & Device Registration Acknowledgment

This acknowledgment confirms the accuracy of the registration information provided by Tester during the Project Scarlett Beta Program onboarding process.

1. Accuracy of Registration Information

Tester certifies that all information provided in the Tester Identity & Device Registration section of this onboarding portal is true, accurate, complete, and not misleading. This includes: full legal name, email address, phone number, occupation, geographic region, primary test device details, and any additional device information provided.

2. Device Authorization

Tester certifies that the device(s) registered are under Tester's control and that Tester has the authority to install and operate beta software on such devices. If a device is a company-issued or employer-owned device, Tester represents that they have obtained any necessary employer authorization prior to installation.

3. Obligation to Update

Tester agrees to notify Project Scarlett Program Team promptly if any registered information changes materially during the Beta Period, including changes to primary test device, email address, or role.

4. Single Registered Identity

Tester may not register more than one identity within this Beta Program. Duplicate registrations under different identities are prohibited and may result in disqualification from the program and legal action under the NDA.

5. Identity Verification

Tester acknowledges that Project Scarlett Program Team may request identity verification at any time during the Beta Period and agrees to cooperate with any such request. Failure to verify identity may result in suspension of beta access.

6. Age Representation

By completing this onboarding, Tester represents that they are at least 18 years of age and are legally capable of entering into binding agreements under the laws of their jurisdiction.
